Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Gnotheia, including its websites, applications, conversational AI features, and related tools (collectively, the “Service”). The Service is provided by Muse Tech Intel LLC (“we,” “us,” or “our”). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Gnotheia provides software and AI-assisted guidance intended to help founders and operators think through startup and business topics. The Service may include chat threads, usage limits tied to your plan, optional community or “Network” features, and related content. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
2. Accounts and eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be old enough to enter a binding contract where you live and not barred from using the Service under applicable law.
3. Subscriptions, billing, and refunds
Paid plans renew according to the terms shown at checkout and in your billing settings. Payments are processed by our payment processor. Taxes may apply. You may cancel your subscription through your billing portal or in-app billing flows; canceling stops future charges subject to your plan and applicable law. Refund and credit rules are described in our Refund & billing policy, which is incorporated into these Terms by reference.
4. AI and professional advice
The Service uses automated systems to generate responses. Outputs may be incorrect, incomplete, or outdated. You are solely responsible for how you use or rely on any information. Nothing in the Service is legal, tax, accounting, securities, or investment advice, and nothing establishes an attorney-client, fiduciary, or professional relationship. Consult qualified professionals before making decisions that affect your company, investors, employees, or personal obligations.
5. Network
If you apply to or use Network features, you agree to provide accurate application information and to follow any eligibility or review requirements we publish. We may approve or decline applications at our discretion. Additional contact details you provide (for example, for messaging apps) may be used as described in our Privacy Policy.
6. Acceptable use
You will not use the Service to violate law; infringe others’ rights; distribute malware; attempt to scrape, overload, or reverse engineer the Service except as permitted by law; misuse others’ personal data; or harass, abuse, or harm people or systems. We may suspend or terminate access for violations.
7. Your content and feedback
You retain rights to content you submit. You grant us a license to host, process, transmit, and display that content as needed to operate and improve the Service (including using service providers as described in our Privacy Policy). If you send feedback or suggestions, we may use them without obligation to you.
8. Our intellectual property
The Service, branding, and documentation are protected by intellectual property laws. Except for the limited rights to use the Service under these Terms, we reserve all rights.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.
11. Indemnity
You will defend and indemnify us and our affiliates, directors, employees, and agents against third-party claims and costs arising from your use of the Service, your content, or your violation of these Terms, to the extent permitted by law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violate these Terms or pose risk to the Service or others. Provisions that by their nature should survive will survive termination.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. If changes are material, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. You and Muse Tech Intel LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Service, except where prohibited by law.
15. Miscellaneous
These Terms are the entire agreement between you and Muse Tech Intel LLC regarding the Service and supersede prior understandings on the same subject. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
